Challenge

The buyer planned to acquire a software vendor. The seller's documents painted a positive picture, but internally there was no expertise to independently assess architecture, codebase and operations.

The outside view

The core application was solid – critical were outdated dependencies, a missing authorisation concept and knowledge tied to two people. These findings could be quantified and secured contractually.

Starting point

In acquisitions, the focus is often on finance and law. The technical substance – the actual product – is frequently only examined superficially.

The outside view

As a neutral expert with no stake in the outcome of the transaction, we could examine openly and systematically: which parts of the technology hold up, which need to be renewed, and what will it cost?

Result

The assessment report made risks transparent and quantifiable. The buyer was able to negotiate the purchase price on a sound basis, anchor conditions in the contract and start straight after closing with a prioritised roadmap.
